Terms and Conditions

1. Definitions

• "Client" refers to the individual or entity engaging the services of the MSP.
• "MSP" refers to Tech Brigade Technology, providing managed services as outlined herein.
• "Services" refers to all services provided by the MSP as described in the Service Agreement.

2. Scope of Services

• The MSP shall provide the services specified in the Service Agreement, which may include IT support, network management, cybersecurity, backup solutions,  consulting, Help Desk.

3. Duration of Agreement

• This agreement shall commence on the date specified on the agreement and shall continue until terminated by either party.
• If a renewal is not processed then the Agreement extends Month to Month until it gets canceled.

4. Fees and Payment Terms

• The Client agrees to pay the fees as outlined in the Service Agreement. Invoices will be issued monthly and are due as specified on the agreement.
• Late payments may incur a fee of 5% per month.
• Credit Card Payments are subject to a 5% processing fee

5. Client Responsibilities

• The Client agrees to provide necessary access to systems, equipment, and personnel as required for the MSP to perform its services.
• The Client must ensure that all hardware and software used are compliant with applicable laws and regulations.

6. Confidentiality

• Both parties agree to maintain confidentiality regarding each other’s proprietary information and not disclose such information to third parties without prior written consent.

7. Limitation of Liability

• The MSP's liability for any claim arising out of this agreement shall be limited to the amount paid by the Client for the services in question. The MSP shall not be liable for any indirect, incidental, or consequential damages.

8. Termination

• Either party may terminate this agreement with 60 days’ written notice.
• Immediate termination may occur if either party breaches any terms and fails to remedy the breach within 30 days.

9. Governing Law

• This agreement shall be governed by the laws of the state of Florida.

​

10. Amendments

• Any amendments to this agreement must be made in writing and signed by both parties.
